Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Liveaboard HQ LLC, a Florida limited liability company (“Liveaboard HQ”, “we”, “us”, or “our”). They govern your access to and use of the Liveaboard HQ website, listings, messaging, tools, and related services (together, the “Service”). Our Privacy Policy describes how we handle your information and is part of these Terms. By creating an account, listing a boat, contacting a seller, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are, and what Liveaboard HQ is

Liveaboard HQ is an online marketplace that helps people list, discover, and connect about liveaboard boats offered for sale by their owners. We provide the platform, listing tools, and a messaging channel that lets buyers and sellers communicate.

We are not a yacht broker, dealer, escrow agent, surveyor, lender, or party to any transaction between buyers and sellers. We do not own, inspect, take possession of, or sell the boats listed on the Service, and we do not represent either side in a sale. Any purchase, sale, payment, survey, sea trial, or transfer of title happens directly between the buyer and the seller, outside the Service and at their own risk.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service you represent that you meet these requirements and that the information you provide is accurate and complete.

3. Your account

You can sign in using a one-time “magic link” sent to your email, or with a password. You are responsible for the security of your email account and any credentials, and for all activity that occurs under your account. Notify us promptly at ryan@liveaboardhq.com if you believe your account has been accessed without your permission.

You can begin a conversation with a seller without an account; when you later sign in with the same verified email address, those earlier conversations are linked to your account.

Some emails we send contain links that open a specific conversation without signing in. Treat those links like a key: anyone you forward the email or link to will be able to read and reply in that conversation.

4. If you list a boat (seller terms)

When you create or manage a listing, you represent and agree that:

  • You are the owner of the boat or are authorized to list it for sale.
  • Every detail you provide (make, model, year, location, condition, specifications, price, photos, floorplans, and narrative) is accurate and not misleading to the best of your knowledge.
  • Any ownership or registration documents you upload (such as a USCG documentation, state registration, title, or bill of sale) are genuine and lawfully yours to share for use in our ownership review.
  • You will keep your listing current, and mark it sold or remove it when it is no longer available.
  • You are solely responsible for the sale itself, including negotiating terms, disclosures required by law, accepting payment, and transferring title.

We may review, request changes to, decline, or remove any listing or document at our discretion, including as part of ownership review. We are not obligated to review anything, and any review we perform does not make us responsible for a listing’s accuracy or a boat’s condition.

5. If you contact a seller (buyer terms)

Listings are provided by sellers, not by us. We do not guarantee the accuracy, completeness, condition, seaworthiness, legal status, or availability of any boat, and a reviewed listing is not a warranty of any kind. Our ownership review is a review of documents the seller provides: it is not a title search, marine survey, lien check, or a guarantee of legal ownership or clear title.

You are responsible for your own due diligence. Before buying any boat you should independently confirm its condition and ownership, for example through a qualified marine survey, sea trial, title and lien search, and review of registration and documentation. Any agreement you reach is solely between you and the seller.

6. Your content and the license you grant us

You keep ownership of the content you submit: listings, photos, floorplans, messages, and other materials (“Your Content”). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, format, and display it for the purpose of operating, promoting, and improving the Service, including generating social share images and resizing photos.

To help present listings, we use third-party AI tools to polish seller-written text (such as a cruising story, photo captions, or listing prose) and to suggest how your listing photos should be organized. Anything AI-assisted is a suggestion you can review, edit, or undo, and you remain responsible for the final content of your listing. See our Privacy Policy for the services involved.

You are responsible for having the rights to everything you submit, and for ensuring it does not infringe anyone else’s rights or violate any law.

7. Acceptable use

You agree not to:

  • Post false, fraudulent, misleading, or deceptive listings or information.
  • List a boat you do not own or are not authorized to sell.
  • Harass, threaten, defraud, or spam other users, or use the messaging channel for anything other than good-faith communication about a boat.
  • Use the Service to send unsolicited marketing, collect users’ information for your own purposes, or solicit users for unrelated products or services.
  • Upload anything unlawful, infringing, or malicious, or attempt to disrupt, reverse engineer, scrape, or gain unauthorized access to the Service.
  • Impersonate any person or misrepresent your affiliation with anyone.

We may suspend or remove content and accounts that we believe violate these Terms or harm the Service or its users. To provide support, investigate reports, and enforce these Terms, authorized Liveaboard HQ staff can access conversations and other content on the Service.

8. Communications

The Service is email-based. By using it, you agree that we may send you service-related messages: sign-in links, inquiry and message notifications, and important notices about your account or listings. These are part of the Service and are not marketing. Where we send optional updates (for example, follow-ups tied to a tool or quiz you used), we will do so only if you opted in, and you can opt out using the link in those emails.

9. Fees and payments

Listing a boat and using the Service is free today, and free listing is not going away. Some parts of the Service may offer an optional payment, such as a voluntary contribution after your boat sells; whether to make one, and the amount, is up to you. If we introduce paid offerings in the future (for example, an optional paid listing package with extra marketing and services), we will describe them and their price clearly before you buy. We never charge a fee that depends on whether your boat sells or on its sale price.

Any payment you make to us is processed by Stripe, a third-party payment processor, on its own payment pages and under its own terms. We never collect or store your card or bank details. The purchase price of a boat is never paid through the Service: money for the boat itself passes directly between buyer and seller.

10. Our intellectual property

The Service itself, including our name, logo, design, software, text, and the boat-model reference information we compile, is owned by Liveaboard HQ or our licensors and is protected by intellectual property laws. We grant you a limited, personal, non-transferable right to use the Service as intended. You may not copy, modify, distribute, or create derivative works from the Service except as these Terms allow.

11. Third-party services and links

We rely on third-party providers to run the Service (for example, for hosting, databases, file storage, email delivery, payment processing, and AI text assistance), and the Service may link to third-party websites. We are not responsible for third-party services or sites, and your use of them may be governed by their own terms and privacy practices.

13. Disclaimers

The Service and all listings are provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any listing, boat, buyer, or seller is accurately described, legitimate, or suitable.

Because we are not a party to transactions between users, we disclaim responsibility for the conduct of any user and for the condition, legality, safety, or value of any boat. Boats are significant purchases; obtaining a professional survey and independent legal and financial advice is your responsibility.

14. Limitation of liability

To the fullest extent permitted by law, Liveaboard HQ and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or boats, arising out of or relating to your use of the Service or any transaction between users, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or USD 100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Liveaboard HQ and its owners, employees, and contractors from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, Your Content, your sale or purchase of a boat, or your violation of these Terms or any law or third-party right.

16. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will survive, including content licenses already granted, disclaimers, limitations of liability, and indemnification.

17. Changes to the Service and these Terms

We may update the Service and these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the revised Terms.

18. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You and Liveaboard HQ agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Clay County, Florida, and you consent to personal jurisdiction there, except where applicable law gives you the right to bring a claim elsewhere.

19. General

These Terms, together with the Privacy Policy, are the entire agreement between you and Liveaboard HQ about the Service, and they replace any prior understandings. If any provision of these Terms is found unenforceable, the rest remain in full effect. If we do not enforce a provision, that is not a waiver of our right to enforce it later. You may not assign these Terms without our written consent; we may assign them in connection with a merger, sale, or reorganization. These Terms do not create any rights for anyone who is not a party to them.
